The scoop car was popular in early small mines with low headroom. It could be tilted down and loaded by scooping into it rather than having to shovel over the sides. It has a 360 degree turntable that allows it to align with the material to be loaded.

End dump cars show the evolution of mining cars from boxes on wheels to much more efficient designs. The end gate and hinging the box to the wheel frame allowed dumping the heavy ore load by a single miner.

There are many types of side dump cars. The onewe reproduce is called a "Gable Car" because its floor has two slopes which peak at the center. The side opening doors allow the ore to be dumped out each side.

Separating the assets into two separate companies will give KORE shareholders direct exposure to value creation from a pure-play exploration company. Karus will focus on unlocking value in the Cariboo region of British Columbia, with opportunities to grow the FG Gold project, expand the Gold Creek project and make new discoveries on the commanding 1,000 kilometers square claim position. KORE will remain a leading US gold developer, exploring and advancing the Imperial and Long Valley gold projects to production.

The Spin Out is anticipated to close in late January 2021 subject to receipt of required shareholder, court and other approvals and satisfaction of other closing conditions. Shareholders of the Company are cautioned that there can be no assurance that the Spin Out will be completed on the terms described in the December 16, 2020 news release, or at all.

At a meeting to be held on January 20, 2021, KORE shareholders will vote to reorganize the business of KORE into two companies by way of a plan of arrangement (the Arrangement), whereby upon closing of the Arrangement, KOREs British Columbia assets will be transferred into Karus Gold. Materials are being mailed to shareholders in connection with the meeting in late December 2020.

Nothing will change with respect to your ownership of KORE once the Spin Out has been completed. You will own the same number of common shares in KORE as before the closing of the Arrangement. KORE will continue to trade on the TSX-V as KORE and on the OTCQX.

The issuance of the new KORE shares is simply a step in the Arrangement to transfer the assets to Karus. If you are a REGISTERED Shareholder of KORE, you will have to complete the Letter of Transmittal to receive your new KORE shares and Karus shares. The Letter of Transmittal is included in your mailing package and available on SEDAR under KOREs profile and on KOREs website. Also see How do I get my Karus shares below for more information.

Karus is intending to raise capital by way of a Rights Offering after the Spin Out is complete. A Right Offering gives all Karus shareholders the opportunity to participate in the first financing of Karus. The decision has not yet been finalized to do a Rights Offering. Karuss Board will make the decision to proceed or not after the Spin Out closes. Participation in the Rights Offering will be optional.

The drilling results on the BC properties funded by KORE in 2020 are expected to come out through Q1 2021. KORE shareholders, who will become Karus shareholders, will be able to benefit from those results. In addition, keeping Karus unlisted in the near-term will reduce costs and be strategic in the timing of bringing Karus back to public markets. A Karus Gold share will be held just like a KORE share, for most investors in a brokerage or similar account, however, prior to listing there will just be no ticker symbol or public market to sell the shares. There are immediate plans to list on the TSX-V or other suitable Canadian stock exchange in the first half of 2021.

Everyone who is a shareholder of record of KORE shares as of the close of business on January 22, 2021, which is the business day immediately preceding the Effective Date, is entitled to receive Karus shares. If you purchase shares in anticipation of getting Karus shares you will need to consider settlement dates. The Company is not responsible for the timing and settlement of purchases and cannot guarantee that if you buy shares within an expected settlement period that you will meet the cut-off date.

Once the transaction closes, if you are in Canada and hold your KORE shares electronically in an online account, you wont need to do anything. The conversion will happen automatically but can take a few days or, in some cases, a few weeks to take effect depending on the brokerage firm you use. Since Karus is not listed, your Karus shares will not show a ticker symbol or a market value, but you should see them in your account. While the majority of brokerage firms are willing to hold private company shares, it is possible that some discount brokerage firms will not offer this service. If your brokerage firm is not willing to hold private company shares, you can contact KOREs transfer agent, Computershare (contact information below), and ask to be issued a DRS Advice for your Karus shares.

If you are in the United States all Karus shares will be issued as a DRS Advice and held on book deposit with Computershare. Once Karus has listed you will be able to transfer your shares into your account.

If you are in Canada or the USA and hold physical share certificates or DRS Advice for your KORE shares you need to send them to Computershare within six years to get your Karus shares. You should have received a Letter of Transmittal and instructions by mail. If you do not have a Letter of Transmittal, you can get a copy HERE or request one by emailing [email protected]

Please note that neither KORE nor Karus is able to provide advice regarding the tax consequences or financial implications of this transaction, since the transaction will affect each shareholder differently. Shareholders should consult with their own financial and tax advisors. KORE shares are a qualified investment for a trust governed by an RRSP, an RRIF, a deferred profit-sharing plan, an RESP, an RDSP or a TFSA as those terms are defined in the Canadian Tax Act as long as KORE is listed on a designated stock exchange or is a public corporation as defined in the Canadian Tax Act.

Karus shares will be a qualified investment as long as the Karus shares are listed on a designated stock exchange within its first taxation year. While Karus will evaluate all strategic opportunities available to enhance shareholder value, including a potential stock exchange listing, there can be no assurance that Karus shares will be listed on a designated stock exchange in time for the shares to become a qualified investment.

If you are a Canadian Shareholder receiving Karus shares, you will be deemed to have received a taxable dividend equal to the fair market value of the Karus shares you receive that exceeds the paid-up capital of the KORE shares at the time of receipt. KORE does not expect the fair market value of the Karus shares to be greater than the paid-up capital of KORE. KORE does not expect that any Shareholder will be deemed to receive a taxable dividend on the Share Exchange.

The fair market value at the time of distribution will be the cost base of your Karus shares. The cost base of your new KORE shares will be the cost base of your old KORE shares less the fair market value of your Karus shares. The fair market value of the Karus shares will not be able to be determined until after the closing of the Arrangement.
